MERIDIAN CRE INTELLIGENCE LLC

Please read these Terms of Service ("Terms") carefully before using the Meridian CRE Intelligence LLC platform ("Platform," "Service," or "App"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
For the purposes of these Terms, the following definitions apply:
By accessing or using Meridian CRE Intelligence LLC, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with and be bound by these Terms and all applicable laws and regulations. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
THIS IS A BINDING LEGAL AGREEMENT. BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE PLATFORM IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
Meridian CRE Intelligence LLC is a multifamily real estate investment analysis platform that provides the following tools and features:
All outputs produced by the Platform are for informational and analytical purposes only. The Platform does not provide financial, investment, legal, or tax advice of any kind.
IMPORTANT — PLEASE READ THIS SECTION CAREFULLY.
All Analytical Outputs generated by Meridian CRE Intelligence LLC — including but not limited to net operating income (NOI), capitalization rates, internal rate of return (IRR), cash-on-cash return, debt service coverage ratio (DSCR), equity multiples, cash flow projections, mortgage estimates, rental income projections, value-add scenarios, and ROI calculations — are provided for INFORMATIONAL PURPOSES ONLY and do not constitute financial, investment, legal, or tax advice.
The Platform uses AI-assisted data extraction that may contain errors, omissions, or misinterpretations of Uploaded Documents. Calculator outputs are based solely on User-provided inputs and standard mathematical formulas. Meridian CRE Intelligence LLC makes no representation or warranty regarding the accuracy, completeness, or reliability of any Analytical Output.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or unlawful activity.
You retain full ownership of all documents and content you upload to the Platform. By uploading documents, you grant Meridian CRE Intelligence LLC a limited, non-exclusive, non-transferable license solely to process those documents for the purpose of generating your requested analysis.
You represent and warrant that you have the legal right to upload any document submitted to the Platform. You agree not to upload documents that:
We treat all Uploaded Documents as confidential. Uploaded Documents are processed solely to generate your requested analysis and are not shared with third parties, used for advertising, or disclosed for any purpose other than providing the Service to you.
Your Uploaded Documents will not be used to train, fine-tune, or improve any AI or machine learning model without your explicit, separate written consent.
We welcome your feedback about the Platform. However, any Feedback you provide — including suggestions, ideas, feature requests, comments, or recommendations — becomes the exclusive property of Meridian CRE Intelligence LLC. By submitting Feedback, you irrevocably assign to us all rights, title, and interest in such Feedback and agree that we may use it for any purpose without restriction, attribution, or compensation to you. We are under no obligation to review, act upon, or implement any Feedback submitted.
The Platform, including its software, algorithms, AI models, underwriting methodology, user interface, branding, and all associated content, is owned exclusively by Meridian CRE Intelligence LLC and is protected by copyright, trade secret, trademark, and other applicable intellectual property laws.
You may not:
Subject to your continued compliance with these Terms, Meridian CRE Intelligence LLC grants you a revocable, limited, non-exclusive, non-sublicensable, non-transferable license to access and use the Platform solely for your personal or internal business purposes. This license does not include any right to resell, redistribute, or commercially exploit the Platform or its outputs.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
The Platform may incorporate third-party software components, open-source libraries, or other third-party services. Your use of such components is subject to the terms and conditions of the applicable third-party licenses. Meridian CRE Intelligence LLC makes no representations or warranties regarding third-party components and is not liable for any issues arising from their use.
New users may access the Platform under a 7-day free trial. No payment is required during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged the applicable subscription fee.
We offer free and paid subscription plans. Paid subscriptions are billed on a monthly or annual basis as selected at checkout. Subscription fees and plan details are posted on our pricing page and are subject to change with prior notice.
Paid subscriptions automatically renew at the end of each billing cycle unless canceled at least 24 hours before the renewal date. By subscribing, you authorize Meridian CRE Intelligence LLC to charge your payment method on a recurring basis until you cancel.
All payments are processed securely through Stripe, Inc. By providing your payment information, you authorize Stripe to charge your payment method on our behalf. Meridian CRE Intelligence LLC does not collect, store, or have access to your full payment card details. Your use of Stripe is subject to the Stripe Services Agreement available at stripe.com/legal.
If your payment method fails or your account becomes past due, we reserve the right to suspend or terminate your access to paid features immediately without notice. You remain responsible for any outstanding amounts. In the event we initiate collection proceedings, you will be liable for all associated costs including reasonable legal fees.
ALL FEES ARE NON-REFUNDABLE ONCE BILLING HAS STARTED. By subscribing to a paid plan, you acknowledge and agree that no refunds will be issued for any reason, including but not limited to cancellation mid-cycle, dissatisfaction with the Service, or failure to use the Service. Your sole remedy is to cancel your subscription before the next renewal date to avoid future charges. We reserve the right to make exceptions at our sole and exclusive discretion.
We reserve the right to change subscription fees at any time. We will provide advance notice by email before any price change takes effect. Your continued use of the Platform after a price change constitutes acceptance of the new fees.
You are solely responsible for any taxes, duties, or other governmental fees associated with your use of the Platform or purchase of a subscription. We will collect applicable sales tax where required by law.
You may cancel your subscription at any time through your account settings or by contacting us at invest@meridiancre.net. Cancellations take effect at the end of the current billing cycle. You will retain access to paid features through the end of the period for which you have paid.
We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any violation of these Terms, non-payment, or for any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately.
Upon termination for any reason, you remain responsible for any outstanding fees owed to Meridian CRE Intelligence LLC. The following sections survive termination of these Terms: Sections 4, 7, 8, 12.6, 15, 16, 17, 18, 19, and 20.
We do not warrant that the Platform will be compatible with all devices, browsers, operating systems, or software configurations. We are not liable for any issues arising from compatibility problems, including but not limited to device damage, data loss, or degraded performance. It is your responsibility to ensure your device and software meet the requirements necessary to use the Platform.
THE PLATFORM AND ALL CONTENT AND ANALYTICAL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MERIDIAN CRE INTELLIGENCE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES AND DOES NOT REPRESENT OR WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY ANALYTICAL OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (D) THE PLATFORM OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIDIAN CRE INTELLIGENCE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, INVESTMENT LOSSES, OR COST OF SUBSTITUTE SERVICES, REGARDLESS OF WHETHER MERIDIAN CRE INTELLIGENCE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MERIDIAN CRE INTELLIGENCE LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MERIDIAN CRE INTELLIGENCE LLC IN THE TWELVE MONTHS PRECEDING THE DATE THE CLAIM AROSE; OR (B) FIVE HUNDRED DOLLARS ($500). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY, WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF MERIDIAN CRE INTELLIGENCE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Meridian CRE Intelligence LLC and its members, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or related to:
This indemnification obligation survives termination of these Terms and your account.
Meridian CRE Intelligence LLC will not be liable for any delay, failure, or interruption of the Platform caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, governmental actions, war, terrorism, labor disputes, power outages, internet or telecommunications failures, or actions of third-party service providers. We will use commercially reasonable efforts to resume normal operations as soon as practicable.
All information communicated on or through the Platform constitutes an electronic communication. When you communicate with Meridian CRE Intelligence LLC electronically — including through the Platform, by email, or other electronic means — you consent to receive electronic communications from us. You agree that electronic communications, notices, disclosures, and agreements provided to you electronically carry the same legal weight and effect as written communications signed in ink. Your click-through acceptance of these Terms at account creation constitutes your valid electronic signature.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform that cannot be resolved informally within 30 days of written notice shall be resolved by binding, confidential arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. Arbitration shall be conducted by a single neutral arbitrator in Los Angeles County, California, or remotely by telephone or written submission if both parties agree.
YOU AND MERIDIAN CRE INTELLIGENCE LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.
The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Nothing in this section prevents either party from seeking emergency injunctive relief from a court to protect intellectual property rights or prevent imminent harm.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. To the extent any dispute is found not subject to arbitration, the parties irrevocably consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, and waive any objection to venue in such courts.
No failure or delay by Meridian CRE Intelligence LLC in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right. No single or partial exercise of any right shall preclude any other or further exercise of that right or the exercise of any other right. A waiver of any right or obligation under these Terms shall only be effective if made in writing and signed by an authorized representative of Meridian CRE Intelligence LLC.
Meridian CRE Intelligence LLC may assign or transfer its rights and obligations under these Terms at any time without notice to you, including in connection with a merger, acquisition, sale of assets, or other corporate transaction. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference and available at https://meridiancre.net/privacy-policy. By using the Platform, you consent to the data practices described in our Privacy Policy.
By using the Platform, you further represent and warrant that:
Meridian CRE Intelligence LLC may use testimonials, reviews, or case studies submitted by users in our marketing materials, website, and promotional content. By submitting a testimonial or agreeing to be quoted, you grant us a royalty-free, worldwide, perpetual, non-exclusive license to use your feedback and name in connection with our marketing. Testimonials represent individual experiences and results may vary. We reserve the right to edit testimonials for grammar, length, and clarity.
The Platform may contain links to third-party websites or resources. Meridian CRE Intelligence LLC does not endorse, control, or assume responsibility for any third-party sites, services, or content. Your interactions with third-party websites are solely between you and the third party, and we are not liable for any damages or losses arising from your use of third-party services.
If you believe that content on the Platform infringes your copyright, please send a notice to invest@meridiancre.net including: (1) identification of the copyrighted work; (2) identification of the allegedly infringing material and its location on the Platform; (3) your contact information; (4) a statement of good faith belief that the use is not authorized; and (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
These Terms, together with our Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Meridian CRE Intelligence LLC regarding your use of the Platform and supersede all prior and contemporaneous agreements, representations, communications, and proposals, whether oral or written.
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and update the Effective Date at the top of this document. Your continued use of the Platform after receiving notice of changes constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE IN THEIR ENTIRETY, THAT YOU UNDERSTAND THEM, AND THAT YOU AGREE TO BE BOUND BY ALL OF THEIR TERMS AND CONDITIONS.
